End User Licence Agreement

1. Parties and acceptance
This End User Licence Agreement is between each authorised user and Zil Smart Solutions, the registered business name under which Rimond Arnold Pillay operates in the Republic of Seychelles, Business Registration Number B8441574. By accepting an invitation or using Seysuite Projects, you accept this Agreement and the Terms of Service. If you use the service for an organisation, that organisation’s order and instructions also apply.
2. Licence grant
Subject to this Agreement, the Terms, the customer’s active subscription, and your continuing authorisation, ZSS grants you a limited, non-exclusive, non-transferable, revocable right to access and use Seysuite Projects through a supported browser for the customer’s internal business purposes. No software ownership is transferred.
3. Authorised use and editions
Your access is limited by the customer’s edition, subscription status, organisation membership, role, and project permissions. You may use the service only for project planning, task management, collaboration, reporting, and related authorised work. Features shown in another edition, documentation, or roadmap are not included unless enabled for the customer.
4. User responsibilities
You must keep credentials confidential, maintain reasonable device security, follow the customer’s policies and lawful instructions, use only your own account, respect role and project boundaries, and promptly report suspected unauthorised access. You are responsible for content you enter or upload and must not disclose another person’s personal or confidential information without authority.
5. Restrictions
You must not share accounts; bypass security, tenant, edition, or permission controls; introduce malicious code; disrupt or probe the service; access another organisation’s data; copy, sell, lease, sublicense, scrape, decompile, reverse engineer, or create derivative works from the service; or remove legal or proprietary notices, except where applicable law does not permit a restriction.
6. Ownership and customer data
ZSS and its licensors retain all rights in the software, design, documentation, branding, and service. The customer retains its rights in content entered or uploaded by its users. Data handling is described in the Privacy Policy and Data Processing Agreement.
7. Updates and third-party services
We may deploy updates for functionality, compatibility, reliability, or security. The service depends on internet access and third-party infrastructure, including Supabase and Netlify, and may be affected by their availability. Open-source or third-party components remain subject to their applicable licence terms.
8. Suspension and termination
This licence ends when your account or organisation membership ends, the customer’s subscription ends, or access is suspended or terminated under the Terms. On ending, you must stop using the service and must not attempt to retain access. The customer’s data-export and retention rights are governed by the Terms and applicable order.
9. Service limitations
Seysuite Projects is a work-management tool and does not replace professional advice, customer approvals, project governance, safety controls, statutory records, or backups appropriate to the customer’s risk. Availability and liability are governed by the Terms. Nothing in this Agreement excludes a statutory right or liability that cannot lawfully be excluded or limited.
10. Changes to this Agreement
The current version and effective date are published here. We will provide reasonable notice of material changes and request renewed acceptance where a change materially affects user rights. Continued use after the notified effective date may constitute acceptance where permitted by law.
11. Governing law and contact
