Terms of Service

1. Agreement and service operator
These Terms govern access to Seysuite Projects. “Zil Smart Solutions”, “ZSS”, “we”, “us”, and “our” refer to the registered business name under which Rimond Arnold Pillay operates in the Republic of Seychelles, Business Registration Number B8441574, of Anse Aux Pins, Mahé, Seychelles. By accepting an organisation invitation, creating an account, or using the service, you agree to these Terms, the Privacy Policy, and the applicable End User Licence Agreement.
2. Organisations and authority
An organisation that orders, is provisioned with, or uses the service is the customer. A person acting for a customer confirms that they are authorised to bind that organisation. Individual users must be authorised by the customer and use the service only for legitimate business purposes. The customer is responsible for its administrators, invited users, role assignments, project access, and removal of access when it is no longer required.
3. The service and editions
Seysuite Projects provides browser-based project planning, task management, Gantt, Kanban, calendar, collaboration, file, notification, audit, dashboard, and reporting functions. Features and limits depend on the assigned edition, subscription status, role, organisation settings, and project membership. Lite and Professional are current editions. Advanced AI is a future edition and no generative-AI functionality is included unless it is expressly activated under updated terms or an order.
4. Accounts and security
Production accounts are invitation-only. Users must provide accurate information, keep credentials confidential, use only their own accounts, and promptly report suspected compromise. Account sharing is prohibited. We may require email verification, password reset, or additional safeguards and may restrict access where reasonably necessary to protect users, customers, or the service.
5. Orders, subscriptions, and payment
A quotation, order form, or other written commercial agreement identifies the customer’s edition, subscription period, authorised usage, fees, taxes, payment schedule, and any customer-specific commitments. Online card payment is not currently offered. Payments are made using the manual payment instructions on the applicable ZSS invoice or quotation. A subscription does not renew automatically unless the applicable order expressly provides for renewal. Overdue amounts may result in suspension after reasonable notice. Statutory rights and any written refund entitlement continue to apply.
6. Customer content and instructions
The customer retains its rights in project information, comments, files, and other content submitted to the service. The customer authorises us to host, copy, transmit, back up, and otherwise process that content only as needed to provide, secure, support, and maintain the service. The customer is responsible for the content’s accuracy, lawfulness, permissions, classification, and for avoiding unnecessary sensitive or confidential information. The customer must provide its personnel and other affected people with any notices required for its use of the service.
7. Acceptable use
You must not use the service unlawfully; upload malicious code or content you are not authorised to process; infringe another person’s rights; bypass access, tenant, edition, or security controls; probe or disrupt the service; access another organisation’s information; scrape the service; or resell, sublicense, copy, decompile, reverse engineer, or create derivative works from it except where the law does not permit that restriction. Uploaded files may be rejected or removed where they present a security, legal, or operational risk.
8. Data protection and confidentiality
Our handling of personal data is described in the Privacy Policy and, for customer- controlled personal data, the Data Processing Agreement. Each party must protect the other party’s confidential information using reasonable care and may use it only to perform or receive the service, comply with law, or protect legitimate legal interests.
9. Service providers and international processing
We use reputable infrastructure providers, including Supabase for database, authentication, storage, and related platform services, and Netlify for application hosting and delivery. Their infrastructure may process data outside Seychelles. We use contractual, technical, and organisational safeguards appropriate to the processing and explain them further in the Privacy Policy and Data Processing Agreement.
10. Availability, support, and changes
We aim to provide a reliable service but do not promise uninterrupted or error-free availability unless a signed order includes a service level. Maintenance, security incidents, internet or provider failures, and events outside reasonable control may affect access. We may improve, replace, or retire features, but will give reasonable notice where a material change substantially reduces paid functionality during a current subscription period.
11. Suspension and termination
The customer may end the service as stated in its order. We may suspend or terminate access for material breach, unlawful or dangerous use, security risk, non-payment, or where required by law. Except for urgent security or legal action, we will provide reasonable notice and an opportunity to remedy a remediable breach. Fees already due remain payable, subject to applicable law and the order.
12. Export, retention, and deletion
Customers should use available reporting and file-download tools before service termination. Unless an order states otherwise, an authorised administrator may request a reasonable export during the subscription and for 30 days after access ends. Customer content is then deleted or anonymised from active systems, ordinarily within 30 further days, except information required for accounting, tax, security, fraud prevention, dispute resolution, or other legal purposes. Residual backups are removed or overwritten through the applicable backup-retention cycle and are not used for ordinary processing.
13. Intellectual property
Seysuite Projects, its software, design, documentation, branding, and related intellectual property belong to ZSS or its licensors. Subject to these Terms, the EULA, and an active subscription, the customer and its authorised users receive a limited right to use the service for the customer’s internal business purposes. Feedback may be used to improve the service without identifying or disclosing the customer’s confidential information.
14. Professional and project decisions
The service helps organise and report work. It does not provide accounting, tax, legal, employment, engineering, health and safety, cybersecurity, or other professional advice. Customers remain responsible for project decisions, approvals, staffing, deadlines, records, backups appropriate to their risk, and compliance.
15. Warranties and liability
We will provide the service with reasonable care and skill. To the extent permitted by law, neither party is liable for indirect, incidental, special, or consequential loss, or loss of profit, revenue, opportunity, or anticipated savings. To the extent permitted by law, ZSS’s aggregate liability connected with the affected service is limited to the fees paid or payable for that service during the 12 months preceding the event giving rise to the claim. Nothing in these Terms excludes statutory rights or any liability that cannot lawfully be excluded or limited, including applicable rights under the Seychelles Consumer Protection Act, 2010.
16. Updates to these Terms
We may update these Terms for legal, security, operational, or product changes. The current version and effective date will be published here. We will provide reasonable notice of material changes and request renewed acceptance where the change materially affects user or customer rights. Continued use after the notified effective date may constitute acceptance where permitted by law.
17. Governing law and disputes
These Terms are governed by the laws of the Republic of Seychelles. The parties will first try in good faith to resolve a dispute through written notice and discussion. Unresolved disputes are subject to the competent courts of Seychelles, without limiting any right to complain to the Seychelles Fair Trading Commission, Information Commission, or another competent authority.
